Liability of legal representative signing

Full Text

Liability of legal representative signing.—A legal representative of a deceased person who signs his name to a promissory note, bill of exchange or cheque is liable personally thereon unless he expressly limits his liability to the extent of the assets received by him as such.

Plain English Summary

Holds the legal representative of a deceased person personally liable on negotiable instruments they sign unless they explicitly limit liability to the inherited assets.

Key Legal Elements

  • Applies to a legal representative of a deceased person signing an instrument
  • The legal representative is personally liable by default
  • Personal liability can be avoided by expressly limiting liability to the extent of assets received

Practical Note

Crucial for administrators or executors of estates. When signing any cheque or promissory note on behalf of a deceased's estate, the legal representative must add words like 'in capacity as legal heir, liable only to the extent of assets of deceased' to avoid unlimited personal liability.
