Power to require personal attendance of officer of corporation

Full Text

The Court may, at any stage of the suit, require the personal appearance of the secretary or of any director, or other principal officer of the corporation who may be able to answer material questions relating to the suit.

Plain English Summary

Empowers the trial court at any stage of the litigation to compel the personal appearance of a company's secretary, director, or principal officer to answer material questions concerning the suit.

Key Legal Elements

  • Judicial Power: Pierces corporate anonymity for evidentiary and interrogation purposes.
  • Officers Amenable: Secretary, Director, Managing Director, or Principal Officer.
  • Stage: Exercisable at any stage of the proceedings (pleadings, discovery, framing issues, or trial).

Practical Note

Preventing Corporate Evasion of Truth: When a corporate litigant files evasive written statements or refuses to make clear admissions on discovery under Order XI, apply under Order XXIX Rule 3 to summon the Managing Director or CFO in person. The imminent prospect of personal court attendance frequently prompts corporate settlements or transparent disclosures.
